Terms for the Harrogate Sulphur Soap Malaysia Stockist track. Version stockist-2026-10.
These terms are between you (“Stockist”, “Partner”) and Bytema International Sdn. Bhd. (“Bytema”, “we”), exclusive distributor of The Harrogate Sulphur Soap Company products in Malaysia, Brunei, Indonesia and Singapore. By applying for or continuing as a Stockist, you accept these terms.
1. Role
Stockists buy Harrogate products at trade price for lawful resale. You hold and sell your own stock. Stockist is not a commission / dropship track — trade pricing replaces referral commission.
2. Enrolment and identity
Stockist applications require IC (NRIC) or SSM registration and are manually reviewed. Approval is at Bytema’s discretion. You must complete the marketing claims briefing before trade pricing is available on your account.
3. Pricing and MOQ
Trade discounts and minimum order quantities (MOQ) are set in the Pricing rules panel and may differ by product. Lines under MOQ stay at RRP. Published RRP and trade prices may change; the cart at checkout is the price that applies.
4. Orders and payment
Stockist orders are placed through the store on your partner account. Payment terms are as stated at checkout unless we agree otherwise in writing. Title and risk pass according to our shipping terms. Returns follow the site Return & Refund Policy unless a separate trade return agreement applies.
5. Resale
You may resell to end consumers in the territories we authorise (default: Malaysia). You must not divert stock to unauthorised wholesale channels, counterfeit markets, or territories where we do not distribute, without written consent.
6. Marketing and claims
Harrogate products are notified cosmetics. You must use approved copy only. You must not claim that products treat, cure or prevent medical or skin conditions. The Marketing Claims Guide forms part of these terms. Breaches may result in suspension of trade pricing or termination.
7. Brand and IP
Harrogate names, logos and creative remain Bytema / brand owner property. Use approved assets only while active. Do not register confusing domains, handles or marks.
8. Compliance
You must comply with Malaysian law, including advertising and consumer rules. You are responsible for your own business licences, tax and employment obligations.
9. Termination
Either party may end the Stockist relationship on written notice. On termination trade pricing ends and you must stop using brand assets. Outstanding paid orders are fulfilled under the terms in force when ordered. Serious breach may end the relationship immediately.
10. Changes
We may update these terms. Material changes are published on this page with a new version code. Continued Stockist purchasing after the effective date is acceptance.
11. Governing law
These terms are governed by the laws of Malaysia. Courts of Malaysia have exclusive jurisdiction.
